Terms of Service
These terms govern your use of TrifyLink's website and services. Please read them carefully before engaging us.
These Terms of Service apply to all visitors to our website and all clients who engage TrifyLink for services. If you have questions about any section, please contact us before proceeding.
Acceptance of Terms
Agreement to These Terms
By accessing our website or engaging TrifyLink for any service whether through a signed contract, verbal agreement, or purchase order, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
Capacity to Contract
You represent that you are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organisation you represent.
Our Services
Scope of Work
TrifyLink provides custom software development, mobile application development, IT consultancy, and related digital services. The specific deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement agreed upon before work begins.
Changes to Scope
Any material changes to an agreed scope of work must be requested in writing and are subject to a change order process, which may affect timelines and costs. TrifyLink reserves the right to decline scope changes that conflict with project integrity or team capacity.
Service Availability
We strive to maintain continuity of service but do not guarantee uninterrupted availability. Scheduled maintenance, third-party outages, or circumstances beyond our reasonable control may affect service delivery.
Intellectual Property
Client-Owned Deliverables
Upon full payment of all outstanding invoices, TrifyLink assigns to the client all intellectual property rights in the custom deliverables developed specifically for that client under the applicable SOW.
TrifyLink IP & Tools
TrifyLink retains all rights to its proprietary frameworks, internal tools, libraries, methodologies, and pre-existing intellectual property used in the delivery of services. A non-exclusive licence to use such components within the delivered product is granted to the client.
Open Source Components
Where open-source software is used in delivering a project, it remains subject to its respective open-source licence. TrifyLink will disclose significant open-source dependencies upon request.
Portfolio Rights
Unless explicitly agreed otherwise in writing, TrifyLink reserves the right to reference the client relationship and describe the nature of the project in our portfolio, case studies, and marketing materials without disclosing confidential business information.
Fees & Payment
Invoicing
Fees are outlined in the applicable SOW or service agreement. Unless otherwise agreed, invoices are due within 14 days of the invoice date. Project work typically requires a deposit before commencement.
Late Payment
Invoices unpaid after the due date may attract a late payment fee of 2% per month on the outstanding balance. TrifyLink reserves the right to pause work on any active engagement where payment is overdue by more than 14 days.
Taxes
All fees are exclusive of applicable taxes (such as VAT or GST) unless explicitly stated. Clients are responsible for any taxes applicable in their jurisdiction.
Confidentiality
Mutual Obligation
Both parties agree to keep confidential any non-public information disclosed in the course of an engagement, including business strategies, technical specifications, pricing, and client data. This obligation survives the termination of any service agreement.
Exceptions
Confidentiality obligations do not apply to information that is already publicly known, independently developed by the receiving party, or required to be disclosed by law or court order.
Limitation of Liability
Limitation
To the maximum extent permitted by applicable law, TrifyLink's total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the client in the three months preceding the event giving rise to the claim.
Exclusions
TrifyLink is not liable for indirect, incidental, consequential, or punitive damages including lost profits, data loss, or business interruption even if we have been advised of the possibility of such damages.
No Warranty
Our services are provided on a professional best-efforts basis. While we take pride in the quality of our work, we do not warrant that software will be entirely free of defects or operate without interruption in all environments.
Termination
By Either Party
Either party may terminate an engagement by providing 30 days' written notice. Termination does not relieve the client of the obligation to pay for work completed up to the termination date.
Immediate Termination
TrifyLink may terminate services immediately if a client breaches these terms, fails to pay after due notice, or engages in conduct that is unlawful or harmful to TrifyLink's team or reputation.
Effect of Termination
Upon termination, each party will return or destroy the other's confidential materials. TrifyLink will provide the client with all completed and in-progress work product upon receipt of outstanding payment.
Governing Law & Disputes
Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. For clients in the United Kingdom, UK consumer and contract law protections apply. For clients in Canada, applicable provincial and federal laws apply alongside these terms.
Dispute Resolution
We prefer to resolve disputes amicably. If a dispute cannot be settled through good-faith negotiation within 30 days, it may be referred to mediation before any formal legal proceedings are commenced.
General Provisions
Entire Agreement
These Terms, together with any applicable SOW or service agreement and our Privacy Policy, constitute the entire agreement between you and TrifyLink with respect to the subject matter herein.
Amendments
We may update these Terms from time to time. We will notify clients of material changes with at least 14 days' notice. Continued use of our services after that period constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
